Technical debt becomes material in a transaction when it limits what the business can do next. A platform that cannot support a new market, a data model that cannot support pricing changes, an integration layer that makes every new partner a project — these are commercial constraints expressed in code.
Quantifying debt requires translating engineering observations into decisions: remediate, replace, contain or accept. Each option has a cost, a duration and a risk profile that an investment committee can weigh.
The most useful diligence output is not a maturity score. It is a sequenced view of which constraints must be removed before the growth plan can be executed, and what that removal costs.
